Welcome to The Intelligent Hospital ("we," "us," "our"), a digital product brand operated by Live Accordingly LLC. These Terms of Service ("Terms") govern your access to and use of our website at theintelligenthospital.org (the "Site") and your purchase of any digital products offered through our platform (the "Products").

By accessing the Site or purchasing any Product, you agree to be bound by these Terms. If you do not agree, do not use the Site or purchase any Products.

1. Products and Services

The Intelligent Hospital sells digital compliance and professional development resources for healthcare organizations, including but not limited to Joint Commission survey preparation toolkits, policy templates, checklists, trackers, and related materials. All Products are delivered as instant digital downloads upon completed payment.

2. Licensing and Permitted Use

Upon purchase, you are granted a limited, non-exclusive, non-transferable license to use the Products according to the tier purchased:

• Starter Kit ($497): Licensed for use within a single healthcare facility. You may customize, edit, and implement the templates within your organization. You may not resell, redistribute, or share the files outside your organization.
• Professional Kit ($997): Licensed for use within a single healthcare facility. Includes all materials in the Starter Kit plus additional resources. Same usage restrictions apply — single facility, no redistribution.
• White-Label License ($2,497): Licensed for commercial use, including the right to rebrand and redistribute the materials to your own clients. The specific rights, restrictions, and obligations of the White-Label License are governed exclusively by the separate White-Label License Agreement document delivered with your purchase. In the event of any conflict between these Terms and the White-Label License Agreement regarding commercial use rights, the White-Label License Agreement shall control.

For all tiers: You may not claim original authorship of the underlying template structure. You may not upload the unmodified files to any public repository, marketplace, or file-sharing platform.

3. All Sales Final — No Refunds

Due to the digital nature of our Products, all sales are final. No refunds, returns, exchanges, or credits will be issued once the Product files have been delivered.

By completing your purchase, you acknowledge that:

• Digital products are delivered instantly and cannot be "returned"
• You have reviewed the product description, preview materials, and pricing before purchasing
• You accept that no refund will be issued under any circumstances

We encourage all prospective buyers to review the product descriptions, preview PDF, and FAQ section on our Site carefully before making a purchase decision.

4. Payment Processing

All payments are processed securely through our third-party payment processor (Stripe) via our digital storefront (Payhip). We do not store your credit card information on our servers. By making a purchase, you also agree to the terms of service of our payment processors.

5. Disclaimer — Not Medical or Legal Advice

The Products provided by The Intelligent Hospital are compliance training and professional development resources only. They do not constitute and shall not be construed as:

• Medical advice, diagnosis, or treatment recommendations
• Legal advice or legal counsel
• A guarantee of Joint Commission survey outcomes or accreditation status
• An official publication of The Joint Commission, CMS, or any regulatory body

The Products are educational tools and starting-point templates. Compliance outcomes depend on your organization's implementation, staff behavior, organizational culture, and many other factors beyond our control. You are solely responsible for ensuring that any materials you implement comply with your facility's specific regulatory requirements and applicable law.

We strongly recommend consulting with qualified legal, compliance, and healthcare professionals before implementing any policies or procedures in your organization.

6. Intellectual Property

All content on the Site and within the Products — including text, graphics, logos, design elements, and document templates — is the intellectual property of Live Accordingly LLC unless otherwise noted. The purchase of a Product grants you a license to use the materials as described in Section 2, not ownership of the underlying intellectual property.

The Joint Commission®, CMS, and all other regulatory body names and trademarks referenced in our Products belong to their respective owners. The Intelligent Hospital is not affiliated with, endorsed by, or sponsored by any regulatory body.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Live Accordingly LLC and The Intelligent Hospital shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from:

• Your use or inability to use the Products
• Any survey outcomes, accreditation decisions, or regulatory actions
• Any errors or omissions in the Product content
• Any unauthorized access to or alteration of your data

Our total liability for any claim arising from these Terms or your use of the Products shall not exceed the amount you paid for the specific Product giving rise to the claim.

8. Indemnification

You agree to indemnify and hold harmless Live Accordingly LLC, its members, agents, and affiliates from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Products, your violation of these Terms, or your violation of any third-party rights.

9. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated "Last Updated" date. Your continued use of the Site or Products after any modification constitutes acceptance of the revised Terms.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts located in New York County, New York.

11. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
